Business Conduct Policy

1. PURPOSE

Nue is committed to conducting business responsibly, ethically, and in compliance with applicable laws and customer requirements. This Responsible Business Conduct Policy affirms our commitment to due diligence, operational risk management, and continual improvement in the areas of: Respect for human rights

• Health and Safety
• Environmental Responsibility
• Ethical Business Conduct

This Policy is publicly available and is communicated to workers through onboarding, training, and accessible internal channels in a format they can understand.

2. HUMAN RIGHTS

Nue respects internationally recognized human rights and is committed to treating individuals with dignity and respect. We do not tolerate:

• Forced, bonded, or involuntary labor
• Human trafficking
• Child labor
• Harassment, abuse, or inhumane treatment
• Unlawful discrimination

We support fair employment practices and equal opportunity. Employment decisions are based on qualifications, performance, and business needs, without discrimination on the basis of protected characteristics under applicable law.

3. HEALTH AND SAFETY

Nue is committed to providing a safe and healthy work environment. We will identify and mitigate workplace health and safety hazards

• Identify and address workplace health and safety risks
• Encourage prompt reporting of hazards, incidents, and near-misses
• Provide relevant health and safety guidance and training, as appropriate
• Maintain emergency preparedness and incident management processes
• Take corrective actions to reduce risk and prevent recurrence

4. ENVIRONMENTAL RESPONSIBILITY

Nue is committed to environmental responsibility and compliance with applicable environmental laws. We will:

• Seek to reduce waste and resource consumption where practicable
• Promote responsible use of energy and materials
• Encourage environmentally responsible practices across our operations and supply chain where feasible

5. ETHICS AND INTEGRITY

Nue conducts business with integrity and expects ethical behavior from all personnel and business partners. We:

• Prohibit bribery and corruption in any form
• Avoid conflicts of interest and require disclosure of potential conflicts
• Comply with applicable laws related to fair competition and business practices
• Protect confidential information and personal information
• Encourage good-faith reporting of concerns and prohibit retaliation

6. REPORTING AND NON-RETALTIATION

Workers are encouraged to report concerns related to ethics, human rights, safety, or environmental compliance. Nue prohibits retaliation against anyone who raises a concern in good faith. Reports may be made to management or by contacting:

7. CONTINUAL IMPROVEMENT

Nue maintains management practices designed to identify and mitigate risks, meet applicable requirements, and improve performance over time. This includes periodic review of this Policy and relevant internal procedures.
